The main role of the board of directors as an internal corporate governance mechanism is to define the strategic orientation of a corporation, to provide monitoring and control of management in order to satisfy the owner’s and key stakeholder’s interests. Generally, there are two basic types of boards: one-tier and two-tier boards. The composition and leadership structure are different depending on the type of board. These factors determine the way the board functions.
